Terms of Use
Effective date: May 1st , 2026
The terms and conditions outlined below (referred to as the “Agreement”) govern your relationship with Lexity AI, as described on our official websites at https://app.lexity.ai/ for individual users and https://platform.lexity.ai/ for corporate clients (collectively, the “Solution”).
Depending on your account type, your access to the Solution operates either on a pay-as-you-go basis utilizing a digital credit system (“Credits”), or via a corporate subscription, allowing you to access our pre-set AI automations, multi-LLM chat, and other features.
By ticking the checkbox, making a payment, or using any part of our services, you’re agreeing to this Agreement. This establishes a legally binding contract between you or the organization you represent (“Client” or “you”) and Lexity AI, a Swiss-registered entity (“Lexity AI”, “we”, “us”, “our”).
You confirm that you have the authority to accept these terms on behalf of any entity you represent.
We may modify this Agreement and will notify you of such changes. Continuing to use our services after modifications signifies your acceptance of the updated terms. Capitalized terms in this Agreement are defined either when bolded in brackets or as detailed in the Definitions section. Please review these terms carefully before proceeding.
1. Service Details
1.1 ORDERING & ACCOUNT CREATION
(a) When registering an account or purchasing Credits on our website, you confirm:
(i) Your legal capacity and that you are at least 18 years of age (or the age of legal majority in your jurisdiction) to form a binding agreement with us.
(ii) Your authorization to use the provided debit or credit card for the order.
(b) To use the Solution, you must register for an account on our website (“Account”).
(c) Registration might require details like name, username, password, billing and mailing addresses, phone number, payment details, and other information as we see fit.
(d) You assure us that all details you provide during registration are accurate and current. We hold the right to suspend or terminate your Account for any violations of these terms.
1.2 SINGLE SIGN ON (SSO)
(a) Google Single Sign-On (SSO):Users may opt to create and access their account using Google’s SSO functionality. By doing so, users grant permission for the Solution to access, retrieve, and store certain information from their Google account. Users acknowledge that their use of Google SSO is subject to Google’s Terms of Service and Privacy Policy.
(b) Microsoft Single Sign-On (SSO):Users have the option to use Microsoft’s SSO functionality, allowing the Solution to access specific information from their Microsoft account. This use is governed by Microsoft’s Terms of Service and Privacy Policy.
(c) Security and Privacy:The Solution does not store users’ Google or Microsoft passwords and will maintain the confidentiality of retrieved information in accordance with our Privacy Policy.
(d) Account Responsibility: Users remain entirely responsible for any activity conducted through their account, regardless of the creation method.
1.3 THE SOLUTION & CLICKFLOWS™
(a) Clickflows™:The Solution provides access to pre-set AI automations consisting of multi-AI agentic workflows, trademarked as “Clickflows”. Clickflows are our proprietary Intellectual Property (IP) and have been strictly attorney-vetted. We are constantly expanding our Clickflows library with new automations.
(b) Additional Features: The Solution also includes, but is not limited to, AskDocs (allowing users to chat with uploaded files), multi-LLM chat interfaces, and Professional AI translations.
(c) Software Usage: During the term of this Agreement, we offer you a non-exclusive, non-transferable license to use the Software, Documentation, and Clickflows subject to your available Credit balance or Subscription Tier.
1.4 B2B CORPORATE SOLUTIONS & CUSTOM CLICKFLOWS™
(a) Corporate Portal: For corporate entities, we provide an invite-only B2B portal (https://platform.lexity.ai/). Access to this portal is restricted and granted exclusively by the Lexity AI team to ensure the highest corporate standards.
(b) Corporate Subscriptions: B2B clients may be offered a monthly subscription model that grants unlimited access to relevant, designated Clickflows, substituting the standard pay-as-you-go Credit model.
(c) Dedicated Custom Clickflows™ & IP Exclusivity: Lexity AI can build on-demand, dedicated Clickflows tailored specifically to a corporate client’s internal processes and specialties. While Lexity AI retains the Intellectual Property ownership of the underlying code and mechanics of these custom Clickflows, we strictly guarantee exclusivity: Custom-built Clickflows tailored for a specific client will never be exposed, shared, or made available to any other Lexity AI client or third party.
2. Services & Responsibilities
2.1 SERVICES PROVIDED
We will provide Hosted and Support Services as defined on our website, granting you access to the Solution’s features based on your Credit balance or Corporate Subscription.
2.2 YOUR RESPONSIBILITIES
You commit to offering all necessary documentation, information, and assistance required for the Solution to function, and ensuring the completeness and accuracy of all Client Materials provided to us. We are not liable for any issues arising from incomplete or inaccurate information.
2.3 PRIVACY CONCERNS
We collect personal data to deliver our Solution and for purposes stated in our Privacy Policy. By accepting these terms, you also agree to our Privacy Policy.
3. Payments, Credits, and Pay-As-You-Go
3.1 PAY-AS-YOU-GO MODEL & NO HIDDEN FEES (B2C)
For standard accounts, Lexity AI operates on a strictly pay-as-you-go model. We do not charge hidden subscription fees or recurring retainers. Users only pay for exactly what they use through the expenditure of Credits.
3.2 CREDIT CONSUMPTION
(a) Execution Costs:Every action you take within the platform (including but not limited to executing a Clickflow™, utilizing AskDocs, or requesting an AI translation) consumes Credits.
(b) Dynamic Pricing: The exact amount of Credits spent per action is dynamically calculated based on the complexity of the requested Clickflow or task and the volume/size of the data fed into the system.
(c) Transparency: Detailed post-execution statistics regarding Credit spending and task complexity are clearly visible in your User profile immediately after an event is completed.
3.3 WELCOME CREDITS & EXPIRATION
Upon initial registration, Lexity AI may grant “Welcome Credits” to allow users to test and verify if our Solution is the right tool for them. Welcome Credits are strictly promotional and have a predefined expiration period. If unused within this period, Welcome Credits will automatically expire.
3.4 PURCHASED CREDITS
(a) Purchasing: You may purchase additional Credits at any time through our website.
(b) Non-Expirable: Any payment made towards purchased Credits renders those acquired Credits non-expirable. They will remain in your Account balance until consumed.
(c) Payment Delays: We can suspend your ability to purchase Credits or use the Solution if you fail to meet payment obligations.
3.5 SERVICE LIMITATIONS UPON ZERO BALANCE
If your Credit balance reaches zero (or if your Welcome Credits expire and no further Credits are purchased), you will be limited or restricted from executing further tasks, Clickflows, or generating new AI content.
3.6 HISTORICAL RECORDS
Regardless of your Credit balance, all historical records, generated documents, and past execution logs will remain accessible to you in your Account in perpetuity, until you explicitly request Account deletion.
3.7 TAXES & REFUNDS
(a) Refunds are not available for change of mind or for partially used Credit balances.
(b) Prices do not include GST/VAT unless stated otherwise. Applicable taxes will be added upon billing.
3.8 PAYMENT PROCESSING (STRIPE)
All financial transactions are processed securely through our third-party payment processor, Stripe. Lexity AI does not process, have exposure to, or store your credit card details or other sensitive financial data on our servers. Your payment information is subject to Stripe’s Terms of Service and Privacy Policy.
3.9 PRICING AND COST UPDATES
We reserve the right to update our pricing, the cost of purchasing Credits, and the dynamic Credit consumption rates for specific operations at any time. Any such changes will be reflected within the platform, and your continued use of the Solution constitutes your acceptance of the updated pricing structure.
4. Account Cancellation & Deletion
(a) You can request the deletion of your Account at any time.
(b) Upon Account deletion, we are no longer responsible for storing any User Data, and your access to the Solution and all historical records will be permanently revoked.
(c) Any remaining Credits in your Account at the time of deletion will be forfeited and are non-refundable.
5. Obligations & Acceptable Use
5.1 YOUR RESPONSIBILITIES
(a) We recognize that our clients are legal professionals and corporate entities who require the freedom to share and process complex documentation. However, to maintain platform integrity, you and all Users under your Account must adhere to these Terms. Without our written consent, you must not:
(i) Utilize the Software to generate malicious code, engage in fraudulent activities, or intentionally violate applicable laws;
(ii) Upload third-party copyrighted material without the legal right or authorization to process it;
(iii) Duplicate, alter, modify, or create derivative works from our Software or proprietary Clickflows™;
(iv) Attempt to decipher the Software’s source code or bypass security features;
(v) Resell or unlawfully share access to the Solution.
5.2 HOSTING & SUPPORT SERVICES
(a) We aim for consistent data availability but cannot guarantee continuous access. You handle internal administration and assisting your team with the Software.
6. Uploaded Content, Data Security & AI Guardrails
6.1 WARRANTIES & INDEMNIFICATION
When uploading files or text (Posted Material) for use with AskDocs or Clickflows, you warrant that you are legally authorized to share and process the content. You indemnify us against claims that your Posted Material infringes third-party rights.
6.2 INTELLECTUAL PROPERTY
(a) Our Ownership:We retain ownership of all materials, Software Content, and proprietary Clickflows™ provided to you. You are granted a limited license to use them for their intended purpose within the platform.
(b) Client Data: You retain full ownership of your Client Data. You grant us a non-exclusive, strictly limited license to use your Client Data solely to the extent required to execute your requested tasks within the Solution.
6.3 DATA SECURITY, PROFESSIONAL SECRECY & AI GUARDRAILS
We understand the paramount importance of legal professional secrecy and corporate confidentiality. To protect your Client Data, we enforce the following strict standards:
(a) EU/Swiss Hosting: All data is hosted on highly secure, compliant Azure servers located within the European Union and Switzerland.
(b) Account Isolation & Zero Exposure: Client Data remains strictly isolated within each individual account. We employ a zero-data-exposure policy, meaning even Lexity AI personnel cannot access or view your underlying files or documents without explicit, case-by-case consent provided by you for support purposes.
(c) Zero AI Training (Strict Guardrails): Your data is processed by AI models solely to execute the automations you request. We strictly guarantee that your Client Data is NEVER used to store, train, fine-tune, or improve our AI models or the models of our third-party LLM providers. (d) Trust Center: For comprehensive details regarding our security protocols, compliance measures, and certifications, users can visit our Trust Center at trust.lexity.ai.
7. Third Party Interactions
You recognize that using third-party software integrations or modifying data outputs may lead to complications. We are not accountable for the operation of external third-party products, services, or APIs connected to our Solution.
8. Limitations & Responsibilities
8.1 GUARANTEES, CONSTRAINTS & SLA
(a) We guarantee the Software will largely operate in line with its Documentation.
(b) Service Level Agreement (SLA) & Uptime: We have engineered complex system mechanics, including fallback protocols and cascading logic between multiple Large Language Models (LLMs), to guarantee the highest possible processing uptime. However, because our Solution relies on the availability of third-party AI providers, our SLA is ultimately subject to their operational status. You can monitor the real-time uptime and operational status of the platform at status.lexity.ai.
(c) We provide the Solution “as is”. We cannot guarantee error-free operations or the complete accuracy of AI-generated information.
(d) You accept that information generated by the Solution does not constitute binding specialized or legal advice, despite our Clickflows being attorney-vetted as software logic. It is your responsibility to review all outputs.
8.2 LIABILITY RESTRICTIONS
Under applicable law, our total liability to you for losses or damages is capped at the total Fees you’ve paid us in the 3 months prior to the incident. We are not liable for indirect, special, or consequential damages, or loss of profits or data.
9. Termination & Conflicts
9.1 OUR TERMINATION RIGHTS
We reserve the right to immediately terminate these Terms or your Account, without prior notice or liability, if we identify any abuse, violent use, or malicious exploitation of the system and provided software, or if you breach any other stipulations of these Terms or face insolvency.
9.2 MANAGING DISAGREEMENTS
Any party seeking a dispute’s resolution must alert the opposing parties in writing. Both parties must strive to amicably resolve the disagreement within 14 days before initiating legal action.
10. General Provisions
10.1 UNFORESEEABLE EVENTS
We’re not liable for delays or failures due to unforeseen events beyond our control, such as natural disasters, pandemics, or widespread outages.
10.2 COMMUNICATIONS
Notices must be written in English and sent to designated email addresses.
10.3 GOVERNING LAW
The governing law of this Agreement shall be the substantive laws of Switzerland, without regard to its conflict of laws principles. Any claim or dispute shall be decided exclusively by a court of competent jurisdiction located in Switzerland.
10.4 AGREEMENT’S SCOPE & SEVERABILITY
This agreement is the complete understanding between parties. Invalid terms won’t affect the rest of the agreement.
DEFINITIONS
Here’s a concise list of defined terms:
- AskDocs: A feature allowing Users to interact conversationally with uploaded files and documents.
- Clickflows™: Pre-set, proprietary, attorney-vetted multi-AI agentic workflows available within the Solution. Custom Clickflows may be developed for B2B clients.
- Client Data: Your data and associated rights provided to us.
- Confidential Information: Private information shared between parties.
- Corporate Subscription: A monthly billing model available to B2B clients offering unlimited access to designated Clickflows.
- Credits: The digital currency used within the Solution to execute Clickflows, AskDocs, translations, and other AI tasks.
- Documentation: All guides and manuals related to the Software.
- Fees: All payments related to the purchase of Credits or Corporate Subscriptions.
- Intellectual Property Rights: All intellectual and industrial property rights globally.
- Material: Information or documents in any format.
- Services: All services we provide, including hosting, support, and AI generation.
- Software: The software described on our Website.
- Solution:The complete package, including Software, Clickflows™, and Services across both B2C and B2B platforms.
- User: End users and others with access to the Software via an Account.
- User Data: Data uploaded to the Software by Users.
- Welcome Credits: Promotional credits provided upon account creation with a specific expiration date.
